Terms and Conditions
These Terms and Conditions («Terms») govern the use of Syync at syync.cloud («Service») operated by GeoTools Suter, Switzerland. By registering or using the Service, you agree to these Terms.

2. Description of the Service
Syync allows users to upload BOOX/Onyx Notes backup archives, convert handwritten notes to PNG and PDF formats, organise notes in a folder structure, and export them. Features may change; some functions (e.g. continuous sync, AI handwriting recognition, Pro subscription) may be offered as beta or «coming soon» until officially launched.
3. Registration and account
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
You must be at least 16 years old (or the minimum age required in your jurisdiction) to use the Service. One person or legal entity per account unless we agree otherwise.
We may suspend or terminate accounts that violate these Terms or pose a security risk.
4. User content and licence
You retain ownership of notes, backups, and files you upload. You represent that you have the right to upload and process such content.
You grant us a non-exclusive, worldwide licence to store, process, convert, display, and transmit your content solely to provide and improve the Service, including backups and technical copies as needed for operation.
You must not upload unlawful content, malware, or material that infringes third-party rights. You must not attempt to access other users’ data or disrupt the Service.
5. Free and paid plans
During the beta phase, core features may be offered free of charge. We reserve the right to introduce paid plans (e.g. «Pro» at USD 10 per month) with additional features such as continuous sync, automatic export, and AI recognition.
Paid subscriptions will be subject to separate pricing information at checkout. Fees are due in advance unless stated otherwise. You may cancel according to the conditions shown at purchase; statutory withdrawal rights for consumers apply where mandatory.
We may change prices for future billing periods with reasonable notice.
6. Availability and support
We aim for high availability but do not guarantee uninterrupted access. Maintenance, updates, or force majeure may cause temporary outages.
Support is provided on a reasonable-efforts basis via email. Response times may vary; Pro subscribers may receive priority support when offered.
7. Intellectual property
The Service, software, branding, and documentation (excluding your content) are owned by us or our licensors. You receive a limited, non-transferable right to use the Service for personal or internal business purposes in accordance with these Terms.
You may not reverse engineer, scrape, resell, or commercially exploit the Service without our written consent.
8. Warranty disclaimer
The Service is provided «as is» and «as available» to the extent permitted by Swiss law. We do not warrant that conversion results are error-free, identical to on-device rendering, or suitable for a particular purpose.
Mandatory statutory warranties (e.g. under the Swiss Code of Obligations for consumers) remain unaffected where they cannot be excluded.
9. Limitation of liability
To the extent permitted by law, we are liable only for damage caused by intent or gross negligence. For slight negligence, we are liable only for breach of essential contractual obligations and limited to foreseeable typical damage.
We are not liable for indirect damage, lost profits, or data loss except where mandatory law provides otherwise. Total liability per incident is limited to the fees paid by you in the twelve months preceding the claim, or CHF 100 if no fees were paid, unless mandatory law requires more.
Nothing in these Terms limits liability for injury to life, body, health, or fraud.
10. Data protection
Processing of personal data is described in our Privacy Policy at /privacy. By using the Service you acknowledge that policy.
11. Term and termination
You may delete your account at any time by contacting us or using account deletion when available. We may terminate or suspend the Service or your account with notice where reasonable, or immediately for serious breaches.
Upon termination, your right to use the Service ends. We will delete or retain data as described in the Privacy Policy.
12. Amendments
We may amend these Terms with effect for the future. We will notify registered users of material changes (e.g. by email or notice on login). Continued use after the effective date constitutes acceptance unless mandatory law requires explicit consent.
13. Governing law and jurisdiction
These Terms are governed by Swiss substantive law, excluding conflict-of-law rules and the CISG.
Exclusive place of jurisdiction for disputes arising from or in connection with these Terms is Bern, Switzerland, subject to mandatory consumer jurisdiction at the defendant’s domicile under Swiss or EU law where applicable.
The Swiss Code of Obligations and other mandatory provisions apply to consumers in Switzerland.
14. Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect. The invalid provision shall be replaced by a valid one that closest reflects the economic purpose.
